1. Agreement to terms

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Technoserve W.L.L. (Commercial Registration No. 81118), Doha, State of Qatar ("PulsePanels", "we", "us"), governing your access to and use of the PulsePanels digital signage management platform, web applications, APIs, player software and related services (collectively, the "Services").

By creating an account, signing an order form, or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Accounts and eligibility

You must provide accurate account information and keep it up to date. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.

  • You must be able to form a binding contract to use the Services.
  • You are responsible for the acts and omissions of your users, workspaces and connected players.
  • You must promptly notify us of any unauthorised use of your account. See the Security page for our security contact.

3. Subscriptions, plans and billing

Paid Services are billed according to the plan, quantity of screens or devices, and billing period set out in your order form or in-product plan selection. Billing metrics, fees and payment terms are described at the point of purchase.

Invoices may be paid by bank transfer or, where offered, by card through our payment provider (Stripe). Unless stated otherwise, fees are non-refundable except as required by law.

  • Fees, billing cycle and any usage-based metrics are those shown at purchase or in your order form.
  • Taxes are your responsibility unless we are legally required to collect them.
  • We may suspend or downgrade Services for non-payment following notice, subject to the Support Policy and any applicable order form.

4. Licence and acceptable use

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during your subscription term.

Your use of the Services must comply with our Acceptable Use Policy and Content & Copyright Policy, which are incorporated into these Terms by reference.

  • Do not resell, sublicense or provide the Services to third parties except as expressly permitted.
  • Do not reverse engineer, copy or create derivative works of the Services except to the extent permitted by law.
  • Do not use the Services to distribute unlawful, infringing or harmful content.

5. Customer content

You retain all rights in the content you upload, schedule and publish through the Services ("Customer Content"). You grant us the limited rights needed to host, process, cache, transmit and display Customer Content for the purpose of providing the Services.

You are solely responsible for Customer Content and for holding all rights and licences necessary to display it on your screens. Ownership, licensing and takedown handling are described in the Content & Copyright Policy.

6. Player software and devices

The Services include player applications for supported platforms. Supported platforms, minimum versions and end-of-support timelines are described in the Supported Devices Policy.

Players may cache content locally so that screens can continue playing previously delivered media during temporary loss of connectivity to the cloud platform. Local playback availability and cloud-service availability are measured separately, as described in the Service Level Agreement.

7. Service availability and support

We aim to provide reliable Services. Availability commitments, if any, are set out in the Service Level Agreement. Support scope and channels are described in the Support Policy.

We may perform planned or emergency maintenance and may modify or discontinue features. We will use reasonable efforts to communicate material changes.

8. Beta and experimental features

Features labelled beta, preview or experimental are provided "as is" for evaluation, may change or be withdrawn, and are excluded from any availability, support-response or service-credit commitments.

9. Third-party services and content

The Services may allow you to embed external URLs, third-party applications, QR-linked destinations or integrations. We are not responsible for third-party services or the content they deliver. Your use of them is subject to their terms.

10. Privacy and data protection

Our handling of personal data is described in the Privacy Notice. Where we process personal data on your behalf as a processor, the Data Processing Agreement applies.

11. Intellectual property

We and our licensors own all rights in the Services, including the platform, player software, documentation and trademarks. Except for the limited licence granted to you, no rights are transferred.

12. Disclaimers

Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, to the maximum extent permitted by law.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue.

Except for your payment obligations, liability arising from breach of confidentiality, or a party's gross negligence, wilful misconduct or fraud, each party's total aggregate liability arising out of or relating to these Terms is limited to the fees paid or payable by you for the Services in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

14. Indemnification

You will defend and indemnify PulsePanels against third-party claims arising from Customer Content, or from your use of the Services in breach of these Terms or the Acceptable Use Policy.

We will defend and indemnify you against third-party claims that the Services, as provided by us and not modified, infringe that third party's intellectual-property rights.

Our obligation does not apply to claims arising from Customer Content, from use of the Services in combination with products, services or content not provided by us, or from modifications not made by us.

Each indemnity applies only if the party seeking it:

  • notifies the other party promptly in writing of the claim;
  • gives the other party sole control of the defence and settlement of the claim; and
  • provides reasonable cooperation, at the other party's expense.

15. Term and termination

These Terms apply while you use the Services or have an active subscription. Either party may terminate for material breach that remains uncured after notice. On termination, your right to use the Services ends.

Data return and deletion on termination are handled as described in the Data Processing Agreement and the Data Retention statement.

16. Changes to these terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the State of Qatar, and the courts of Doha, Qatar have jurisdiction, except where mandatory local law provides otherwise.
